Conduent Reaches Class Action Cybersecurity Settlement Agreement

Theglobeandmail • October 17, 2026

On October 16, 2026, Conduent and certain subsidiaries entered into a Class Action Settlement Agreement to resolve a consolidated class action lawsuit in the U.S. District Court for the District of New Jersey arising from a January 2025 cybersecurity incident. The agreement, which remains subject to court approval, follows earlier disclosure of the data breach and is structured to bring closure to litigation stemming from that event.

Under the Settlement Agreement, Conduent will contribute $80 million to a non-reversionary fund covering class member recoveries, credit and medical data monitoring, plaintiffs’ counsel fees and settlement administration costs, representing its total monetary obligation under the deal. The settlement, which Conduent emphasizes is not an admission of fault, will release the company, affected clients and those clients’ customers from claims related to the incident, and Conduent says existing cyber insurance means it does not expect a material impact on its financial position, operating results or cash flows.

Spark’s Take on CNDT Stock

According to Spark, TipRanks’ AI Analyst, CNDT is a Neutral.

CNDT scores low primarily due to weak financial performance—declining revenue, losses, and negative free cash flow—paired with a bearish technical setup (below major moving averages and negative MACD). The score is partially supported by a more constructive earnings outlook centered on divestiture-driven deleveraging, cost savings, and pipeline growth, but near-term margin and cash flow pressures keep the overall risk profile elevated.

Conduent Incorporated, together with its subsidiaries Conduent Business Services, LLC and Conduent State & Local Solutions, Inc., operates in the business process services industry, providing outsourced transaction processing, technology-enabled solutions and related support services to commercial enterprises and government clients. The company’s offerings often involve handling sensitive customer and citizen data on behalf of its clients, making cybersecurity and data protection central to its operations and risk profile.
