Rank One Computing (ROC) to Acquire Zuccaro Technical Consulting: Major Expansion in Digital Forensics and Vision AI
Denver, CO, June 24, 2026 – Rank One Computing Corporation (Nasdaq: ROC), a leading provider of Vision AI technologies, has announced a definitive agreement to acquire Zuccaro Technical Consulting LLC (ZTC), a digital forensics solutions developer and technical services provider for federal government agencies. The acquisition marks a major milestone in ROC’s growth strategy, significantly expanding its ROC Evidence platform and creating a comprehensive, end-to-end investigative solution for government and public safety customers.
Under the agreement, ROC will pay \$500,000 in upfront cash and approximately \$2,500,000 in restricted ROC common stock, with an additional performance-based earn-out, to acquire ZTC. The deal also includes equity-based compensation for ZTC employees in the form of restricted stock units (RSUs). Upon closing, ZTC will operate as a wholly owned subsidiary of ROC, ensuring continuity of service for ZTC’s federal government clients and integrating its technical team into ROC’s operations.
ZTC brings with it a mature, field-tested set of digital forensics capabilities developed over more than two decades of solving complex problems in operational environments. Unlike typical commercial tools, ZTC’s technology is tailored to ingest, process, review, and manage large-scale digital evidence workflows, including legal process returns, mobile device extractions, multimedia files, and other investigative data sources. This expertise will be combined with ROC’s -generation digital evidence management, video analytics, and biometric solutions, creating a unified platform for investigative agencies.
Financially, the acquisition is designed to be accretive, adding revenue from ZTC’s existing multi-year federal contracts, while the deal structure helps limit near-term shareholder dilution. The acquisition is expected to close in the third quarter of 2026, pending customary regulatory approvals and closing conditions.
